UAE Labour Law Outlines Strict Rules for Enforcing Post-Employment Non-Compete Clauses

Under UAE labour regulations, employers may enforce non-compete clauses barring former employees from joining rivals for up to two years if specific statutory criteria are met. The restrictions must define time, geography, and scope of work, while employers bear the legal burden of proving actual financial damage in court. Clauses become void if an employer terminates the employment unlawfully or breaches contractual obligations.

Under UAE Federal Decree-Law No. 33 of 2021 on the Regulation of Employment Relations and Cabinet Resolution No. 1 of 2022, employers in the UAE mainland may include non-compete clauses in employment contracts to prevent employees from joining competitors or setting up rival businesses after resignation or contract expiry, according to legal guidance published by Khaleej Times.

Legal expert Ashish Mehta, founder and managing partner of Ashish Mehta & Associates, noted that pursuant to Article 10(1) of the Employment Law, such restrictions are valid only when an employee's role provides access to customer details or business secrets. Enforceable clauses must strictly define the duration, geographic scope, and specific nature of work required to safeguard legitimate business interests. While the statutory limit is two years, Mehta noted that two years is a legal cap rather than an automatic entitlement, and restrictions must remain proportionate.

Under Article 12(2) of Cabinet Resolution No. 1 of 2022, if a dispute arises and cannot be resolved amicably, the employer carries the full legal burden in court to prove that actual damage occurred and to demonstrate the quantum of damages suffered.

The law also details instances where non-compete restrictions are inapplicable. Under Article 10(2) of the Employment Law, the clause is void if the employer terminates the worker in violation of the law. Furthermore, Article 12(3) of Cabinet Resolution No. 1 of 2022 nullifies the restriction if employment ends at the employer's will without lawful cause or through employer breach of contract.

Article 12(5) of the Cabinet Resolution provides specific exemptions to non-compete obligations, including contract termination during the probationary period, workers falling under exempt ministerial professional categories, or cases where the employee or new employer pays financial compensation not exceeding three months' wages with the former employer's written consent.
