UAE Clarifies Distinct Free Zone Definitions Across Corporate Tax, VAT, and Excise

The UAE Federal Tax Authority issued Tax Public Clarification TAXP010 confirming that Free Zone and Designated Zone definitions differ across Corporate Tax, VAT, and Excise Tax. These definitions are not interchangeable, requiring companies to assess each tax regime independently. Certain zones like JAFZA, DAFZA, and KIZAD qualify as Corporate Tax Designated Zones, whereas ADGM, DIFC, and DMCC do not qualify as VAT Designated Zones.

The UAE Federal Tax Authority (FTA) issued Tax Public Clarification TAXP010, confirming that definitions of Free Zones and Designated Zones differ across Value Added Tax (VAT), Excise Tax, and Corporate Tax regimes. The authority stated that the three definitions cannot be used interchangeably and mandate independent assessments for each tax type.

Under the Corporate Tax regime, a Corporate Tax Designated Zone represents a narrower concept requiring an area to be both a Free Zone under Corporate Tax rules and a Designated Zone under VAT legislation. Zones such as Jebel Ali Free Zone (JAFZA), Dubai Airport Free Zone (DAFZA), and Khalifa Industrial Zone Abu Dhabi (KIZAD) qualify as Corporate Tax Designated Zones. In contrast, Abu Dhabi Global Market (ADGM), Dubai International Financial Centre (DIFC), and Dubai Multi Commodities Centre (DMCC) qualify as Corporate Tax Free Zones but are non-designated zones for VAT purposes.

For VAT, a Designated Zone must be listed under Cabinet Decision No. 59 of 2017 and meet operational requirements set out in Article 51(1) of the VAT Executive Regulation. While qualifying zones may receive out-of-scope territorial treatment for specific goods supplies and transfers, services generally remain subject to normal UAE VAT rules, and goods entering mainland UAE face import VAT.

For Excise Tax, a Designated Zone is operational and control-based, defined generally as a fenced free zone with security measures, customs oversight, and an appointed Warehouse Keeper, or another area approved by the FTA. The FTA urged companies to align their contracts, customs filings, invoicing, and enterprise resource planning (ERP) configurations to reflect these distinct classifications.
