According to an analysis published by law firm Mishcon de Reya, three regulatory developments across the Dubai International Financial Centre (DIFC) and Abu Dhabi Global Market (ADGM) have reshaped structuring options for private capital and family offices in 2026.
In February 2026, the DIFC introduced its Variable Capital Company (VCC) regime, allowing proprietary investors to organise distinct pools of assets and liabilities under a single governance and administrative structure. In July 2026, the DIFC revised its Prescribed Company (PC) regime by removing previous eligibility gateways to accommodate a broader spectrum of passive holding investors. In September 2026, ADGM eliminated its regional nexus requirement, expanding special purpose vehicle (SPV) eligibility beyond entities with a demonstrable regional link.
The law firm noted that DIFC VCCs can be established in three structures via a licensed Corporate Service Provider (CSP): a standalone company holding all assets in one entity, an umbrella structure with incorporated cells possessing separate legal personality, or an umbrella structure with segregated cells separated by operation of law. Umbrella entities may use incorporated or segregated cells, but cannot combine both types.
Mishcon de Reya added that VCC distributions can be made based on positive net asset value (NAV) rather than solely on realised accounting profits, provided the distribution does not reduce NAV below zero. Under umbrella frameworks, financial standing is assessed strictly on a ring-fenced, cell-by-cell basis. Unless qualifying for an exemption, DIFC VCCs and PCs must appoint a CSP, and ADGM maintains a comparable requirement for non-exempt SPVs.
