Lower-risk fund managers operating in the Abu Dhabi Global Market (ADGM) will benefit from new lighter-touch regulatory frameworks designed to reduce capital, compliance burdens, and control function requirements, according to law firm Pinsent Masons. The reforms, announced by the Financial Services Regulatory Authority (FSRA), establish three new categories of fund managers: sub-threshold, venture capital, and institutional.
Under the new regime, all three manager categories are exempt from requirements to appoint a finance officer and maintain an internal audit function. Marie Chowdhry, a financial regulation expert at Pinsent Masons in the UAE, stated that the changes demonstrate the FSRA's recognition that a uniform framework is not always appropriate for the diversity of managers in ADGM, positioning the jurisdiction as more competitive for venture capital and institutional firms alike.
Sub-threshold managers are permitted to manage closed-ended, non-retail funds with an aggregate committed capital of up to US$200 million across all managed funds, provided they do not operate as host fund managers. Venture capital fund managers fall within this sub-threshold category and are restricted to managing only venture capital funds, with their authorisation and annual supervisory fees capped at US$10,000. However, Pinsent Masons noted that existing venture capital managers will have their prior exemption from most prudential rules removed.
Institutional fund managers are limited to managing qualified investor funds or equivalent foreign funds with a minimum subscription of US$5 million, and they cannot accept investments from natural persons. These managers face reduced capital requirements, needing to hold the higher of US$50,000 or six weeks of audited annual expenditure, compared to the standard requirement of 13 weeks of expenditure.
In addition, institutional fund managers are exempt from professional indemnity insurance requirements, although those obligations continue to apply to sub-threshold and venture capital managers. Pinsent Masons funds specialist David Young noted that the reforms are anticipated to be of particular relevance to managers of smaller private funds, venture capital firms, and institutional-only fund vehicles.
