Saudi-listed Sustainable Infrastructure Holding Company (SISCO Holding) announced via a Tadawul disclosure that its portfolio firm Green Dome Investments (GDI) has completed the 100% acquisition of Dubai-based cold-chain logistics provider Transcorp International for SAR 230 million (AED 225 million). SISCO holds a 31.7% equity stake in GDI.
According to the disclosure reported by EnterpriseAM, the transaction was financed entirely through equity contributions from GDI shareholders, with SISCO funding approximately SAR 77 million (AED 75 million) of the total consideration. The deal marks the exit of CE-Ventures, the corporate venture capital arm of Crescent Enterprises, which first invested in Transcorp in 2018.
Transcorp operates a smart cold-chain and temperature-controlled distribution network covering 50 cities across the UAE, Saudi Arabia, and Qatar. Under the deal structure, Transcorp will merge its UAE and Qatar operations into GDI's logistics arm, Elite Co., while accelerating its operational expansion across Saudi Arabia.
The combined Elite Co. and Transcorp platform will operate across five GCC countries, managing a fleet of more than 1,500 vehicles and 27 warehouses while serving over 800 commercial clients. GDI indicated that further acquisitions are planned in 2026 to build an integrated regional platform spanning express delivery, e-commerce fulfilment, and cold-chain services.
For the transaction, Transcorp appointed PwC as financial advisor and Addleshaw Goddard as legal counsel. Elite Co. engaged FTI as financial advisor and Support Legal as legal counsel.
