Dubai Business Setup Requires Cross-Border Tax and Compliance Beyond Just Trade Licenses

International founders relocating to Dubai must address complex cross-border banking, tax residency, and ongoing compliance requirements beyond simply securing a trade license, Gulf News reported. While the UAE imposes no personal income tax and maintains a 9 percent corporate tax above Dh375,000, 0 percent corporate relief requires meeting strict qualifying criteria or Small Business Relief thresholds. In addition, dual structures involving US LLCs carry filing obligations and potential penalties of $25,000 if not managed properly.

Securing a trade license is only the first step for international entrepreneurs moving to Dubai, with long-term operational success depending on corporate banking approvals, payment infrastructure, residency, and multi-jurisdictional compliance, Gulf News reported. According to Dubai-based setup firm GenZone LLC, founders leaving jurisdictions with personal income taxes exceeding 45 percent—such as Canada, the UK, Australia, and parts of Europe—often face significant compliance procedures that extend well beyond initial incorporation.

The report noted that moving abroad does not automatically sever tax obligations in a founder's home country, pointing to Canada's residential ties and departure taxes as well as the UK's Statutory Residence Test. While the UAE levies no personal income tax, its corporate tax regime applies a 0 percent rate up to Dh375,000 and 9 percent above that threshold. Free zone companies retain a 0 percent rate only if they qualify as Qualifying Free Zone Persons with adequate substance, qualifying income, and audited accounts.

In August, Ministerial Decision No. 131 of 2026 extended the UAE's Small Business Relief—applicable to eligible companies with revenue up to Dh3 million—to tax periods ending on or before December 31, 2029. GenZone emphasized that holding a free zone license is not a substitute for a documented tax position, and businesses must determine whether a free zone or mainland license issued by Dubai's Department of Economy and Tourism best fits their operational model.

The feature also highlighted risks for founders pairing UAE entities with US LLCs to access American payment rails and customers. A foreign-owned single-member US LLC must generally file IRS Form 5472, with non-compliance penalties reaching $25,000, while businesses managed from the UAE may also need to register for UAE corporate tax, requiring coordinated multi-country structuring from the outset.
