The UAE Federal Tax Authority (FTA) has issued regulatory clarification confirming that a free zone's classification as a VAT Designated Zone does not automatically qualify it as a Designated Zone for Corporate Tax purposes. According to the guidance, the UAE's federal tax regimes—comprising Corporate Tax, Value Added Tax (VAT), and Excise Tax—maintain separate legal definitions and eligibility tests for free zone designations.

To be treated as a Designated Zone for Corporate Tax, a zone must fulfill two conditions: it must qualify as a VAT Designated Zone and also be specifically recognized as a Free Zone under the UAE Corporate Tax Law. Furthermore, entities seeking the 0% preferential corporate tax rate on qualifying income must satisfy specific statutory requirements, including adequate economic substance and qualifying activity rules.

The clarification carries particular significance for goods distribution businesses. Under the Corporate Tax framework, the 0% rate on distribution income applies exclusively to goods distributed in or from an approved Corporate Tax Designated Zone. The FTA advised businesses operating in free zones to assess their compliance and status independently under each tax law rather than relying on blanket designations.
