The UAE Capital Market Authority (CMA) announced on November 4, 2026, that it is drafting regulations to enable private joint-stock companies and free zone businesses to raise capital through private placements.

CMA CEO Waleed Saeed Al Awadhi stated that the framework aims to provide small and medium-sized enterprises (SMEs) and family businesses with access to institutional capital prior to pursuing formal initial public offerings (IPOs). The draft regulations governing these structures are slated for completion before the end of 2026.

Additionally, the regulator is establishing an investor protection fund designed to offer a safety net for clients of licensed financial firms during exceptional market conditions. The move follows sharp capital market outflows experienced earlier in 2026.
