Business setup advisory firm RadiantBiz reported that legal and fiscal reforms in the United Arab Emirates have changed how international entrepreneurs select company structures in Dubai. Following 2021 amendments to the UAE Commercial Companies Law, full foreign ownership is now permitted across most mainland commercial and industrial activities, removing the previous requirement for a local majority partner.
At the same time, the introduction of a 9% federal corporate tax on taxable profits exceeding AED 375,000 has altered the comparative advantages of mainland and free zone jurisdictions. While free zone entities may qualify for a 0% tax rate on qualifying income under specific statutory conditions, selling directly to customers in the mainland typically requires an onshore branch, a distributor, or an appropriate commercial license.
RadiantBiz noted that newer regulatory provisions allow certain free zone companies to open mainland branches without forfeiting their free zone corporate structure. Chief Executive Officer Rizwan Ansari stated that operational mismatches—such as misaligning trading, consultancy, or digital models with licensing and activity codes—represent the primary setup challenge facing new investors.
